Welcome to Nevalto ("Nevalto", "Platform", "Service"), provided by Darkventure Studio Sàrl ("Company", "we", "us"). By accessing or using nevalto.com or any associated software applications, you agree to be bound by these Terms of Service.

1. Description of Services

Nevalto provides an integrated software platform for racquet clubs, padel centres, academies, pro-shops, and independent stringers: - Club Management & Court Booking: Real-time calendar scheduling, peak pricing, and tournament brackets. - Racquet Stringing Workshop: Digital intake, string reel tracking, automated tension advisor, and customer notifications. - Smart Facility & Digital Twin: Integration with building automation systems (Loxone lighting relays, Unifi door access) and 72-hour machine learning demand forecasting. - Commerce & Invoicing: POS till management, digital wallet passes, and Swiss QR-bill generation.

2. Account Registration & Responsibilities

  1. Eligibility: You must be an authorized representative of a business entity or an adult individual capable of entering into legally binding contracts under Swiss law.
  2. Account Security: You are solely responsible for maintaining the confidentiality of your credentials and API access tokens.
  3. Acceptable Use: You agree not to reverse engineer, decompile, or intercept proprietary communications, nor use the platform for unauthorized data scraping or malicious disruption.

3. Subscriptions, Invoicing & Payments

  • Billing Cycles: Subscription tiers are billed in advance on a monthly or annual basis as specified in your agreement.
  • Currency & Taxes: Prices are quoted in Swiss Francs (CHF) or Euros (EUR) excluding applicable value-added taxes (VAT/MWST).
  • Cancellation: You may cancel your subscription at the conclusion of any active billing period with standard notice.

4. Intellectual Property & Data Ownership

  • Your Data: Customers retain exclusive ownership and intellectual property rights over all booking records, player rosters, and workshop logs uploaded to the platform.
  • Platform IP: Nevalto retains all rights, titles, and interests in the platform architecture, algorithms, user interfaces, and trademarks.

5. Service Availability & SLA

We target a 99.9% uptime for core booking and API endpoints, excluding scheduled maintenance windows announced with reasonable advance notice.

6. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict of laws principles. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be the competent courts of the Canton of Valais, Switzerland.
